Terms of Use
Terms version: 2026-09-03
These Terms of Use (“Terms”) are a contract between you (“you”, “the shop”, “Licensee”) and FortiqAI Technologies LLP (“we”, “us”, “FortiqAI”), the maker of the AgroDealer desktop software (“AgroDealer”, “the app”).
By installing, activating, or using AgroDealer you accept these Terms and our handling of data as described in Section 8. If you do not accept them, do not install or use the app.
1. What AgroDealer is
AgroDealer is an offline-first desktop application for agro-input dealers to run day-to-day shop operations: product and stock records, billing and GST invoices, farmer and supplier accounts, payment tracking, scouting follow-ups, WhatsApp message drafting, and reports.
AgroDealer is a record-keeping and workflow tool. It is not an accountant, a lawyer, or an agronomist. Any GST figure, filing summary, spray recommendation, pre-harvest interval, dosage, or safety text the app shows is a convenience based on the data you entered and the reference data we ship. You are responsible for checking it before you rely on it, file it, or give it to a farmer.
2. Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use AgroDealer on computers owned or controlled by one shop / business, for that shop’s own internal use. The software is licensed, not sold. All intellectual property in AgroDealer stays with FortiqAI.
One licence key is bound to the shop name given at activation, and to one device. Moving to a new or repaired computer, or renaming your shop, requires us to release the old binding or issue a new key first. Contact support.
3. Free trial and paid licence
- AgroDealer runs free for a 15-day trial from first installation. No key or payment is needed to start.
- After 15 days, creating new records (invoices, payments, farmers, products, and similar) is blocked until you activate a valid licence key. Your existing data is never deleted and stays readable; it becomes editable again the moment a valid key is activated.
- A licence key has its own expiry (the renewal date). We will remind you before it lapses.
- Fees, the renewal period, and refund terms are set out in your purchase / quotation and in the Cancellation & Refund Policy.
4. Your responsibilities
You agree to:
- give accurate shop, GST, and contact details, and keep them current;
- use the app only for a lawful agro-input retail business;
- keep your licence key, PIN(s), and computer secure;
- comply with all laws that apply to your business, including the Insecticides Act 1968 and rules, the GST law, and the Legal Metrology Act. AgroDealer helps you keep records, it does not make you compliant;
- keep your own copies of your data in addition to the app’s backups (see Section 5);
- not share one licence across multiple shops, resell or sub-licence the app, or reverse-engineer, tamper with, or try to defeat the trial, licence-check, or time-verification mechanisms (including by editing the app’s data files or the system clock to extend or restore access).
A serious breach, in particular tampering with licensing, is grounds for immediate termination under Section 10 and may be an offence under the Information Technology Act 2000.
5. Backups and data loss: read this carefully
Your business data is stored on your own computer, in a folder the installer and updates never touch. Backups exist to help you recover from mistakes and hardware failure. They are provided as a convenience, with no guarantee of completeness, currency, or recoverability.
5.1 Local backups (always on)
- The app writes a daily backup to a
backupsfolder on the same computer. - It keeps the last 14 daily backups, plus up to 5 extra copies taken automatically just before a software update changes the database structure. Older ones are deleted automatically.
- You can also save a copy to a file or pen drive at any time from Settings → Data & Backup → Backup now.
- These copies are on the same disk as the app. If that disk fails, is lost, stolen, or encrypted by ransomware, the local backups are lost with it. This is why you must keep at least one copy somewhere else.
5.2 Cloud backup (online licences only)
If your licence is set to online mode (the default for a paid licence, unless you asked for a local-only install):
- Once a day, when the computer has an internet connection, the app uploads one encrypted copy of your database to our backup service.
- The data is encrypted on your computer before it is sent. It is stored only as ciphertext; it cannot be read from the storage bucket or by our hosting provider.
- Only the single most recent copy is kept. There is no history, no point-in-time restore, and no way to go back to “last week’s” data. A restore brings back the state of the last successful upload.
- Because uploads happen at most once a day and only when online, a restore can lose up to 24 hours of work, or more if the computer had been offline since the last successful upload.
- Cloud backup is tied to one device. After a computer is replaced, you activate your key on the new machine and restore that one copy.
- We keep your encrypted cloud backup while your licence is active, and for 90 days after it lapses. After that it may be permanently deleted without further notice.
5.3 Local-only (“offline”) licences
If your licence is set to offline mode, no cloud copy is ever made. Only the local 14-day backups exist. If the computer’s disk fails and you have not kept your own external copy, the data cannot be recovered by us or by anyone. We never had it.
5.4 What we do not promise
We do not promise that any backup (local or cloud) is complete, uncorrupted, or restorable; that a restore will contain every record you entered before the failure; that cloud backup will run on any particular day, or that the service will be available at the moment you need to restore; or that we can recover data for a local-only licence, or after your cloud backup has been deleted under Section 5.2.
Your data is your responsibility. Keep your own copies.
6. Software updates
- The app checks for updates automatically and shows a notice when one is available. Nothing downloads or installs without your click (or, if you chose it, on the next app close).
- An update may change the database structure. The app makes a backup first and rolls back if the change fails.
- We may stop supporting old versions. Running an unsupported version is at your own risk.
- We may change AgroDealer’s features between versions, including removing or replacing features.
7. Messaging (WhatsApp)
AgroDealer helps you draft messages to farmers and suppliers and opens them in WhatsApp for you to review and send yourself. AgroDealer does not send messages on your behalf and is not affiliated with WhatsApp or Meta. You are responsible for what you send, for having the recipient’s consent to be messaged, and for complying with WhatsApp’s own terms.
8. Data we receive
AgroDealer is offline-first. The only things the app sends to us are: an encrypted cloud backup (daily, online licences only — your database, encrypted on your computer); an install / activity signal (on first launch and about once a day — shop name, proprietor name, mobile number, app version, operating system, install date, and trial / licence status; no farmer, invoice, or financial data); a crash report (only on a fatal error, online licences only — device id, shop name, app version, operating system, and the technical error message; no farmer or financial data); and licence checks (on activation and about once a day when online — licence key and device id).
We use this to run the licence and backup service, to see how many shops are using AgroDealer, to follow up with trial shops, and to find and fix bugs. We do not sell it. We keep it only as long as needed for those purposes. Our full Privacy Policy has the detail.
9. Warranty disclaimer and limit of liability
AgroDealer is provided “as is”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that it will be error-free or uninterrupted, or that any figure it produces is correct.
To the maximum extent allowed by law, we are not liable for any indirect, incidental, special, or consequential loss, or for any loss of profit, revenue, goodwill, or data, arising out of or related to AgroDealer, its backups, or the backup service. Our total liability for any and all claims is limited to the licence fee you actually paid us in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Term and termination
These Terms apply until terminated. We may terminate your licence immediately if you breach them (in particular Section 4). On termination you must stop using AgroDealer and uninstall it. Sections 4, 5, 8, 9, 10 and 11 survive termination. Your local data stays on your computer; your cloud backup is handled under Section 5.2.
11. Changes, governing law, contact
- We may update these Terms for future versions. When we do, we bump the “Terms version” at the top and the app asks you to accept the new version. Continued use after that is acceptance.
- These Terms are governed by the laws of India. The courts at Ahmedabad, Gujarat have exclusive jurisdiction, subject to applicable law.
